STANDARD TERMS AND CONDITIONS OF SALE
TugIT Software
1. Scope and Acceptance
These Standard Terms and Conditions of Sale (“Terms”) govern all sales of software products, modules, licenses, subscriptions, and services provided by TugIT Software (“the Company”) to its clients (“the Client”). The Client expressly waives its own general or specific terms and conditions, even if issued after these Terms. Any deviation shall be valid only if expressly agreed to in writing by TugIT Software.
2. Orders and Contract Formation
Any order placed with TugIT Software implies full and unconditional acceptance of these Terms. Orders become binding only after written confirmation or delivery of the product or service.
3. Prices
All prices are exclusive of applicable taxes unless stated otherwise. Prices applicable are those in effect at the time of order confirmation.
4. Payment Terms
Invoices are payable within 21 working days from the invoice date unless otherwise specified. Late payments may incur interest at 10% per annum. TugIT Software reserves the right to suspend services in case of late payment. If payment remains outstanding more than 60 days after the due date, TugIT Software may engage a debt recovery agency. All related costs shall be borne by the Client.
5. Taxes and Withholding
Any withholding taxes required by local legislation shall be paid by the Client. The full invoice amount remains due to TugIT Software.
6. Delivery and Performance
TugIT Software undertakes to use reasonable efforts to deliver services within agreed timelines. All obligations are obligations of means, not results.
7. Limitation of Liability
TugIT Software shall not be liable for indirect or consequential damages. Total liability shall be limited to the amount paid by the Client for the relevant product or service.
8. Claims
Any claim must be notified in writing within eight (8) days of delivery or service provision.
9. Intellectual Property
All intellectual property rights remain the exclusive property of TugIT Software unless otherwise agreed in writing.
10. Termination
TugIT Software may terminate or suspend services immediately in case of non-payment or breach of these Terms.
11. Governing Law and Jurisdiction
All contractual relations shall be governed exclusively by applicable law. Competent courts shall have exclusive jurisdiction.
12. Severability
If any provision is deemed invalid, the remaining provisions shall remain in effect.
